UpShift Care Plans Membership Terms

These Membership Terms govern participation in UpShift Care Plans, including Essential, Plus, and FleetCare memberships.

By enrolling in an UpShift Care Plan, you agree to these Membership Terms in addition to our Terms & Conditions and Membership Coverage Guide.

1. Membership Overview

UpShift Care Plans are preventative maintenance memberships designed to help customers monitor vehicle health, track maintenance, receive service reminders, and access membership benefits.

2. Membership Types

UpShift currently offers Essential, Plus, and FleetCare memberships. Membership benefits vary by plan and may change over time.

3. Membership Is Not Insurance

Memberships are not warranties, mechanical breakdown insurance, service contracts, roadside assistance programs, towing programs, emergency response programs, or unlimited repair plans.

4. Vehicle Enrollment

Membership pricing applies per enrolled vehicle. Each vehicle must be individually enrolled and approved by UpShift. Benefits apply only to the specific vehicle enrolled in the membership.

5. Vehicle Eligibility

UpShift reserves the right to determine eligibility based on vehicle age, condition, mileage, service history, accessibility, business use, or serviceability.

6. Membership Billing

Membership fees are billed monthly using the payment method on file. Members authorize recurring billing until membership is canceled.

7. Billing Failures

If a payment method fails, membership benefits may be suspended until payment is successfully processed. UpShift may cancel or restrict benefits for accounts with repeated billing failures.

8. Membership Cancellation

Members may cancel at any time. Cancellation stops future recurring billing but does not entitle the member to refunds for previous membership charges. Members who cancel before maintaining an active membership for sixty (60) days may lose eligibility for certain introductory benefits and may be subject to a new waiting period upon re-enrollment.

9. Membership Reinstatement

UpShift may require re-enrollment, updated vehicle information, vehicle verification, inspections, or waiting periods before restoring canceled memberships. Customers who cancel and later re-enroll may be subject to new waiting periods, eligibility reviews, or benefit restrictions.

10. Quarterly Oil Service Labor Benefit

Plus and FleetCare memberships currently include one routine oil service labor charge per enrolled vehicle per calendar quarter. A 30-day waiting period applies before this benefit becomes available for newly enrolled vehicles. If a member cancels within thirty (30) days after using an oil service labor benefit, UpShift reserves the right to charge the standard oil service labor rate.

11. Oil Service Benefit Limitations

The quarterly oil service benefit covers labor only. Oil, oil filters, fluids, shop supplies, disposal fees, and additional services remain billable unless otherwise stated.

12. Unused Benefits

Unused quarterly benefits do not roll over, accumulate, transfer between vehicles, convert into credits, or carry cash value.

13. Membership Protection & Abuse Prevention

To maintain fair pricing and protect the integrity of the UpShift Care Plan program, membership benefits may not be shared, transferred, sold, assigned, or used by any vehicle other than the enrolled vehicle unless expressly approved by UpShift.

Vehicles with pre-existing mechanical failures, neglected maintenance conditions, unsafe operating conditions, or known repair needs may be excluded from certain membership benefits.

Memberships are intended for normal vehicle ownership and maintenance needs. Excessive use, fraudulent activity, misuse of benefits, misrepresentation, or attempts to circumvent membership limitations may result in suspension or termination of membership.

UpShift reserves the right to verify vehicle ownership, registration, mileage, service history, and vehicle condition at any time.

14. Commercial, Fleet, And Business-Use Vehicles

Commercial vehicles, fleet vehicles, rideshare vehicles, delivery vehicles, or business-use vehicles enrolled in non-fleet memberships may be reclassified, subject to additional pricing, moved to FleetCare, or deemed ineligible at UpShift's discretion.

15. Membership Benefit Changes

UpShift reserves the right to modify membership pricing, benefits, service offerings, eligibility requirements, or program structure with reasonable notice to members.

16. Priority Scheduling

Priority scheduling provides preferred appointment access when available but does not guarantee same-day service, emergency response, or appointment availability.

17. FleetCare Memberships

FleetCare memberships are intended for qualifying business vehicles and fleets. FleetCare eligibility may be subject to fleet size, vehicle type, service area requirements, vehicle class, and onboarding review.

18. Membership Transfers

Memberships are generally non-transferable between customers. Membership benefits are tied to the enrolled customer and enrolled vehicle and may not be transferred, shared, sold, or assigned without written approval from UpShift. Vehicle transfers may be approved at UpShift's discretion.

19. Service Recommendations

Memberships may include maintenance recommendations, reminders, and vehicle health assessments. Customers remain responsible for approving and paying for recommended repairs and services.

20. Appointment Conduct And Service Access

Repeated appointment no-shows, late cancellations, abusive conduct, unsafe work environments, inaccessible vehicles, or violations of company policies may result in suspension or termination of membership benefits.

21. Membership Suspension Or Termination

UpShift reserves the right to suspend, restrict, or terminate memberships for fraud, abuse, non-payment, unsafe conditions, repeated appointment issues, misrepresentation, misuse of benefits, or violations of company policies.
